These Terms & Conditions (“Terms”) govern your use of the Verdano mobile application and the verdano.ge website (together, the “Service”), operated by Verdano (“Verdano”, “we”, “us”).
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Verdano is an online marketplace that lets users post listings to buy or sell farm goods, discover matching listings, and communicate with one another.
Verdano is a venue only. We are not a party to any transaction between users, we do not buy, sell, deliver or take possession of any goods, and we do not process payments between users.
2. Eligibility and accounts
You must be at least 16 years old and able to form a binding contract to use the Service.
You are responsible for the information in your account and for all activity that happens under it. Keep your login secure and notify us of any unauthorized use.
3. Your content and listings
You are solely responsible for the listings, photos, messages and other content you submit. You represent that you have the right to post it and that it is accurate and not misleading.
You retain ownership of your content. You grant Verdano a non-exclusive, worldwide, royalty-free licence to host, display, reproduce and distribute that content as needed to operate and promote the Service.
4. Acceptable use
You agree not to: post false, deceptive, illegal or infringing content; list prohibited or regulated goods you are not permitted to sell; harass, spam or defraud other users; scrape, overload or interfere with the Service; or attempt to gain unauthorized access to it.
You may only list goods that you are legally allowed to sell, and you must comply with all applicable laws, including those on agricultural products, food safety, customs and cross-border trade.
Verdano has zero tolerance for objectionable content and abusive users. You agree not to post content that is offensive, abusive, harassing, hateful, threatening, sexually explicit, defamatory or otherwise objectionable, and not to harass, threaten, impersonate or abuse other users.
5. Transactions between users
Any agreement, payment, delivery, inspection or dispute arising from a listing is solely between the buyer and the seller. Verdano is not responsible for the quality, safety, legality or delivery of goods, or for the ability of users to complete a transaction.
We encourage you to use good judgment, verify the other party, and agree clear terms before exchanging money or goods.
6. Communication
The Service includes in-app messaging. You agree to use it lawfully and respectfully. Translations provided in chat are generated automatically and may not be accurate; rely on them at your own discretion.
7. Objectionable content, abuse and enforcement
We may review, moderate, remove or restrict content and may suspend or terminate accounts that violate these Terms or applicable law, with or without notice.
The Service gives you tools to flag objectionable content and block abusive users. On any listing you can report the content or block the person who posted it, and in chat you can report or block the other party. Blocking a user immediately removes their listings from your feed and stops them from messaging you.
We act on reports of objectionable content and abusive users — removing the content and ejecting the responsible user where warranted — within 24 hours. By using the Service you accept that there is no tolerance for objectionable content or abusive behaviour.
8. Intellectual property
The Verdano name, logo, app, website, design and software are owned by Verdano and protected by intellectual-property laws. You may not copy, modify, distribute or create derivative works from them without our permission.
9. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose, accuracy of listings, or uninterrupted or error-free operation.
10. Limitation of liability
To the maximum extent permitted by law, Verdano will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss arising from transactions between users, content posted by users, or your use of or inability to use the Service.
11. Indemnification
You agree to indemnify and hold Verdano harmless from any claims, damages or expenses arising out of your content, your use of the Service, or your breach of these Terms.
12. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or for the operational or legal reasons described above.
13. Governing law
These Terms are governed by the laws of Georgia, without regard to conflict-of-law rules. Disputes will be subject to the competent courts of Georgia, unless mandatory local law provides otherwise.
14. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and revise the effective date. Continued use of the Service after changes take effect means you accept the revised Terms.
